MANAGEMENT
Tony White, Chief Executive Officer
Tony has over 30 years of experience in the information technology
industry. After 15 years with IBM during which he progressed to the
ranks of senior management, Tony founded, launched and sold a successful start-up
company specializing in the area of data storage technology. Thereafter, Tony founded TransEquatorial Technology, a venture focused
on identifying, financing and realizing value in promising new
technologies and start-up companies. TransEquatorial successfully launched several
new businesses and technologies including the introduction of Keeloq®
code hopping technology which was subsequently sold to MicroChip Technology Inc. and
now constitutes one of the major product groups offered by MicroChip and Image Choice, a content management company that was
subsequently sold to MicroAge and later acquired by Law Cypress. Early in 2002, Tony led a group of investors who purchased Image Choice
(now renamed ICI Solutions) and he currently serves as chairman and CEO of the company. In addition, Tony is a director of a number of
technology companies including nuSable, RMI, Image Tag and also serves

Richard Floegel, Chief Operating Officer
Rich has 30 years of experience in the information processing industry.
Rich's early career included 19 years with Control Data Corporation, culminating as Director of Product Marketing for CYBER Systems
peripherals. In 1988 Rich became co-founder and VP of Operations for
Adaptive Information Systems ("AIS"), A Hitachi Group Company. During his seven
years with AIS, he managed the development and introduction of three major system offerings for the US imaging market under the Hitachi name.
Prior to joining ICI Solutions in 1997 Rich was President of Comparator Systems Corp., a biometrics company, where he was responsible for
restoring the company from bankruptcy to a successful operating status. Rich's functional experience includes corporate operations, sales, and
maintenance services and product development. He serves as a board

Walter Bitaut, Vice President of Operations
Walter has over seventeen years of experience in the imaging and
workflow industry. Having joined FileNet two years after the company was
formed,
Walter acted as Area Systems Manager, controlling project
implementations across 13 states and Canada through 1990. Walter has
continued his
career selling
and implementing solutions within the Health Care, and Life Insurance
market
space.
Since 1985, Walter has implemented over 100 FileNet Systems,
specifically in life-blood workflow-enabled enterprise-wide
applications. Focusing on
customer successes, Walter has authored implementation methodologies
specific to workflow-centric engagements. Additionally Walter has been
strategic to the workflow marketplace through the design of integrated
software solutions within large-scale vertical markets. Walter's clients
have
reaped the benefits of workflow-enabled processes through his consistent
delivery of a wide range of Professional Services, which matches
business
requirements to tangible functionally rich solutions.

Darius Ditallo, Chief
Financial Officer
Darius manages the innovative financial strategies that create a strong foundation for
ICI Solutions' ambitious business goals. With 25 years in the financial field, Darius' first job out of Baylor University was with Price Waterhouse, a leading accounting firm. Since then, he has held key financial positions and participated at the strategic management level in various private and public companies, including Image Choice, a document imaging organization, and Lee Optical. Darius served in public accounting positions in a broad range of industries as well as a three-year international assignment in Hamburg, Germany. His background provides a unique blend of strong financial controls coupled with a comprehensive, pragmatic approach to developing business strategy.

John Emerson, Vice President of Support
Mr. Emerson has over 30 years of successful experience in technology
evaluation and development, new product introduction and positioning,
project management, strategic planning and business development; all focused in
high technology businesses.
Prior to ICI Solutions, Mr. Emerson held the position of Senior Vice
President and ran Operations at VIP Ltd., Inc., an IBM business partner
specializing in eBusiness, eLearning, imaging, and content management systems
integration. Before VIP, Mr. Emerson held the position of Vice President
of Marketing at TDC, a manufacturer of high-speed document scanners and
subsystems. Mr. Emerson also held senior management positions at both
Control Data Corporation and Floating Point Systems.
In 1982, Mr. Emerson founded PACE Systems, a marketing consulting firm
that worked with emerging technology companies. Mr. Emerson has also
assisted startup ventures like Cadence Design (NYSE), and Palantir (also
known as Calera, which was acquired by Caere and then by ScanSoft) with
